Terms of Use

1. Acceptance of Terms

By accessing or using NoteMate AI ("the App," "the Service"), you confirm that you are at least 13 years of age (or 16 in the EU), have read and understood these Terms, and agree to be bound by them along with our Privacy Policy. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

NoteMate AI is an AI-powered audio transcription and note structuring application. The core features include:

• Real-time microphone recording and audio file import (MP3, WAV, M4A, AAC).
• AI-powered speech-to-text transcription via Groq LPU Whisper Large v3.
• 3-Tier structured note synthesis: Executive Summary, Actionable Checklist, and Key Insights.
• AI processing through an authenticated backend and Groq.
• Local note storage; AI processing sends selected content to our backend and Groq.
• Export to Markdown, PDF, and plain text formats.

3. User Accounts

Certain features of the App may require you to create an account. You are responsible for:

• Providing accurate and up-to-date account information.
• Maintaining the confidentiality of your credentials and API keys.
• All activity that occurs under your account.

You may not share your account with others or use another user's account without permission. Notify us immediately at support@notemate.ai if you suspect unauthorized use of your account.

4. In-App Purchases and Subscriptions

4.1 Free Tier

NoteMate AI offers a free tier with limited functionality, including up to 60 audio minutes per month and basic transcription features. No payment is required to access the free tier.

4.2 NoteMate Pro Subscription

Premium features are available through a NoteMate Pro subscription, offered as an In-App Purchase through Apple App Store (iOS) or Google Play (Android). The subscription includes AI transcription, summaries, translation and chat, limited to 100 AI requests per day and audio uploads up to 15 MB. Notes remain on the device; cloud sync is not provided.

• All payments are processed by Apple Inc. or Google LLC respectively.
• Subscription pricing is displayed within the App at the time of purchase.
• A 3-day free trial may be offered for new subscribers subject to availability.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• To cancel, manage your subscription in your device's App Store or Play Store account settings.
• NoteMate AI does not issue refunds directly — all refund requests must be made through Apple or Google according to their respective refund policies.

4.3 AI processing

AI features send selected content to our backend and Groq. Provider credentials are managed on the server and are not distributed to the app. Review AI output before relying on it.

5. Acceptable Use

You agree to use NoteMate AI only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Record conversations without the knowledge or consent of all participants, where required by applicable law.
• Use the App to process, store, or transmit content that is illegal, defamatory, abusive, or infringes intellectual property rights.
• Attempt to reverse-engineer, decompile, or disassemble any part of the App.
• Use automated bots or scripts to access or scrape the App's functionality.
• Circumvent, disable, or otherwise interfere with security features of the App.
• Resell, sublicense, or commercially exploit the App without our express written consent.

6. Audio Recording and Consent

It is your sole responsibility to ensure that you have obtained all necessary consents from individuals before recording conversations using NoteMate AI. Recording laws vary by jurisdiction — in many locations, all-party consent is required. NoteMate AI disclaims all liability for your failure to comply with applicable recording consent laws.

7. Intellectual Property

All content, features, and functionality of the App — including but not limited to software code, design, graphics, and AI models — are the exclusive property of NoteMate AI Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for your personal, non-commercial purposes.

You retain all rights to the audio recordings, transcripts, and notes you create. By using the App, you grant NoteMate AI a limited license to process your audio solely for the purpose of providing the transcription service.

8. Third-Party Services

The App integrates with third-party AI and cloud services (including Groq Cloud, OpenAI, and Google Firebase). Your use of these services through the App is subject to the respective third-party terms and privacy policies. NoteMate AI is not responsible for the practices of these third parties.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NOTEMATE AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• That the App will be uninterrupted, error-free, or free of viruses or harmful components.
• The accuracy or completeness of AI-generated transcriptions and summaries.

AI transcription is not perfect. Always verify critical information independently before relying on it for important decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTEMATE AI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion of certain damages, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless NoteMate AI Inc. and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimer, and limitation of liability) will continue to apply.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NoteMate AI Inc. is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration, unless you opt out within 30 days of first accepting these Terms by contacting us at legal@notemate.ai.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, through an in-app notification. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms.
